STATEMENTOFTHEFACTS  < A  QualitekServices,Inc.,(hereinafter QSI),ownedandoperatedbyMr.LarryBennett,Appellentinthiscause,isatechnicalpersonnelrecruitingcompanybasedinBrevardCounty,Florida.TheDefendantintheactionbelow,andthe_Appllee_Ԁhere,wasProfessionalSoftwareAssociates,Inc,(hereinafter _PSA_),whichisasoftwarecompany,ofwhichJohnF.Farrellissoleofficer,directorandshareholder.  Inmid1999,_QSI_Ԁwasinthemarketforexperiencedsalesmenwhowould, <+&$ bymeansoftelephonic,electronicandpersonalcontacts,matchqualifiedcandidateswithjobopeningsintheinformationtechnology(hereinafter IT)field._QSI_Ԁearned,onaverage,theequivalentof25percentofeachsuccessfullyplacedcandidatesannualsalary.ItwasinJulyof1999that_QSI_ԀwasapproachedbyJohnFarrellof_PSA_,whopresentedhimselfasaskilledsalesmanandanindividualwellversedintheITindustry.Duringtheinterviewprocess,_PSA_,inthepersonofJohnFarrell,impressedhis_QSI_Ԁinterviewerswithhiscredentials,hisconfidenceanddignifieddemeanor,hisbreadthofindustryknowledge,aswellasexhibitinganethicalanddevoutmanner(R.Vol.VII,pp.1035,1039,10411043;R.Vol.VII,pp.1114,1132,1147).TheinterviewprocessculminatedinajobofferasabusinessdeveloperforQSI.  Innegotiations,Farrellinsistedthatnothe,buthiscompany,PSA,behiredandthathewouldbeconsideredanindependentcontractor.ThetestimonyattrialwasalsoinagreementthatthecontractwasmodifiedthroughthesenegotiationstonotpayPSAbywayofsalary,butbywayof drawstoberepaidoutofanticipatedcommissions(R.Vol.VII,pp.10581059;T.Vol.II,pp.213215).Further,becauseFarrellsexperiencehadheretoforebeenthevendingofcomputersoftwareandhardwareandnotpersonnelrecruiting,heaskedthata60daysunsetprobationaryperiodbeplacedinthecontract,attheendofwhichthe 8+&$ contractwouldexpireunderitsownterms.QSIagreedandpresentedtoPSAastandardcontractformwhichincludednoncompetitionandnondisclosureprovisions.Attrial,thetestimonywasinagreementthatFarrellwasallowedtotakethecontracthomewithhimforacoupledaystoconsultwithhisownattorney.Farrellreturnedafteracoupledays,bringingwithhimthecontract,whichwasexecutedbythepartiesonoraboutJuly19,1999,thepartiesstipulatingtoatypographicalerrorindicating,incorrectly,theyear1998.(R.VolVII,_Exh_.#2)Thiscontract,latertobedesignatedattrialastheBaseAgreement,had,infact,beenmodifiedfurther.Originallyastandard5pagedocument,whathadactuallybeenexecuteduponFarrellsreturnwasa4page,repaginateddocument,withthenoncompetitionandnondisclosureprovisionsexcised.  Attrial,andindeposition,plaintiffQSIdeniedeveragreeingto,muchlessdiscussing,theremovalofthoseprovisions.Indeed,QSIprofessedtotalignoranceofthefactthattheprovisionshadbeenremoved.(T.Vol.1,pp.35,85,86,155;R.Vol.VII,pp.10481050).  Conversely,Farrellintimatedattrialthattheremovalofthenoncompete,nondisclosureprovisionshadbeenremovedundermutualagreement(T.Vol.II,pp.204206),althoughheultimatelyadmittedunderexaminationthathehadnever 8+&$ asked[_QSI_]toremovethoseprovisions(T.Vol.II,p.217).  Overthenext60daysofthelifeoftheBaseAgreement,_PSA_Ԁlearnedtheropesoftechnicalpersonnelrecruitment,utilizing_QSI_ssubscriptionbasedandpasswordprotected_internet_Ԁdatabasesandintegratingtheresultsintoaprotectedinhousedatabase.Theinhousedatabasecontainedtheprocessedresumes,jobopeningsandotherclearinghousevendorpointsofcontact_QSI_Ԁneededtorunitsdaytodaybusiness.Attheendofthe60days,andaftercollectingtwoofthemonthly$4800.00draws,whilenotplacinganycandidates,Farrellapproached_QSI_Ԁnotingthattheiroriginalagreementhadexpired.BennettandFarrellagreedtosimplyverballyrenewthecontractasoriginallyexecutedandthetwocontinuedtoconductbusinessinthatmanner(T.Vol.II,p.215;R.Vol.III,pp.394397;R.Vol.VII,pp.10711072).  Thebusinessrelationshipbetween_QSI_Ԁand_PSA_ԀcontinuedunderthethusmodifiedandrevivedBaseAgreementuntilMayof2000.Bythistime,the$4,800.00monthlydrawhadaccumulatedintoasizeabledebt,while_PSA_Ԁhadfailedtoproduceanyappreciablereturnoninvestment.  Attrial,Plaintifftestifiedthat_PSA_Ԁpresentedtoitawrittenagreementwhichprimarilydealtwiththeissuesofdrawsandpercentagespaidto_PSA_Ԁand_QSI_Ԁoutofanticipatedcommissions.(R.Vol.VII,pp.10711072) 8+&$ Significantly,itincludedanexculpatoryprovisionwhichhadthepracticaleffectofreleasingthepartiesobligationstooneanother(T.Vol.I,pp.5354;R.Vol.VII,pp.10831084).AtthetimeofthedraftingandexecutionoftheSecondwrittenagreement(R.Vol.VII,_Exh_.#4)inMarchof2000andtheThirdandfinalwrittenagreementinMayof2000(R.Vol.VII,_Exh_.#5),_QSI_ԀhadbeenadvancingdrawsonamonthlybasiswhilePSAhadfallenseriouslybehindintheirrepayment.ThepartiesattemptedreadjustingthedebtsanddutiesofPSA,providingPSAgreateraccesstoresumesandrecruitinginformation,reducingitsmonthlydraws,providingitwithalargerpercentageofplacedcandidatescommissionsandreducingPSAsdebtbyasubstantialamount.TherecruitingperformanceofPSAremainedanemicuntilOctober10,2000,whenPSAdepartedtheQSIpremises.ItwasonlylaterthatQSIlearnedthatPSAhadquit.ConcealedBreaches     Whatalsosubsequentlycametolight,wasthat,without_QSI_sknowledgeorconsent,whilestillin_QSI_semployandutilizing_QSI_sfacilitiesandprotectedmarketingdatabase,onlyafewdaysaftersigningthesecondamendmenttotheBaseAgreement,onMay11,2000,_PSA_Ԁenteredintomarketingagreementwithoneof_QSI_sexistingcustomers(T.Vol.II,p.252),hadopenedupacompeting 8+&$ _website_Ԁinwhichitofferedsubstantiallytheverysameskillsandserviceswhichithadlearnedfrom_QSI_,createdanotherfictitiouslynamedorganizationbythenameof ProfessionalSearchAgencyandindeed,admittedintestimonythatithadformedtheintenttocompetewith_QSI_ԀintheMarchtoMay,2000timeframe(T.Vol.II,p.246).Significantly,thenegotiatedrateofhiscompensationwithhisnewclient( Bull),whichincidentlywasstillacurrentclientof_QSI_,wassomefivepercentlowerthanthatexistingbetween_QSI_ԀandBull.(T.Vol.II,pp.250251).  _PSA_Ԁwentbeyondmerepreparationforcompetingwith_QSI_Ԁinanticipationofhisdeparture,_PSA_Ԁwasactuallyinbusiness,competingdirectlywith_QSI_,with_QSI_sexistingcustomersandhadstartedtoplacecandidatesforthebenefitof_PSA_Ԁratherthan_QSI_,whilestillonthe_QSI_Ԁpayroll.(T.Vol.II,pp.266273).  While_PSA_Ԁmighthavequit_QSIs_employforgood,andwithoutnotice,onOctober10,2000,attrialitadmittedsoliciting_QSI_sregularclients,onesithadestablishedareputationandrapportwithwhileconductingbusinessasagentfor_QSI_Ԁsometimeearlier,onOctober6,2000._QSI_Ԁwouldhavehadnowaytohaveknownthis,asthesolicitationsweresentoutfrom_PSAs_homecomputerandonlyrevealedafterlitigationandextensivediscoveryensued.  Underexamination,itwasfurtherrevealedthat_PSA_Ԁhadretained 8+&$  W  e    competitorandclientlistinformationon_PSAs_homecomputer,thathesetuphisownpersonnelplacementdatabaseonlineaccountinJulyof2000(somefourmonthsbeforehisdeparting_QSI_),thathisinabilitytoplacecandidateswascured,providinghimwithearningsinexcessof$100,000,andthathewasonlymakingthisincomefromthoseorganizationswhichhadbeenclientsof_QSI_Ԁ(T.Vol.II,pp.273278).Simplycompetingwithhiscurrent,andlater,formeremployer,wasnotallthatlatercametolightinthecourseofdiscovery.Farrell,whilestillworkingfor_QSI_,solicitedVictoria_Dwyer_,anemployeeof_QSI_Ԁatthetime,toworkforhim(T.Vol.II,pp.323,328).Hesubsequentlyenteredintoanotherclandestinerelationshipwithyetanother_QSI_Ԁemployee!oneLauren_Micheline_,whounderdeposition,admittedtoexchangingemailswith_PSA_ԀafterFarrellhaddepartedinOctoberof2000.Inthoseemails,Lauren_Micheline_ԀassumedthefalseidentityofLaurieAnnCooper.Underthispseudonym,_Micheline_/Cooperexchangedemailscontainingresumesofprospectivejobcandidates._PSA_providedalistingfor_Micheline_Ԁ/Cooperonhisneworganizational_website_Ԁasapointofcontactforjobseekers.(R.Vol.II,pp.288290;R.Vol.VII,_Exh_.#21).FALSECREDENTIALS 8+&$   Thetroubles_QSI_Ԁencounteredwith_PSA_Ԁmighthavebeenavoidedhad_QSI_beenawareof_PSAs_backgroundpriorto_Farrells_beingretained.Itwasonlywiththeonsetoflitigationandaftervoluminousandcontentiousdiscoverythat_QSI_ԀlearnedofthenumerousrepresentationsregardingFarrellsqualificationsandworkhistory(R.Vol.VII,pp.10911100),suchasthathewasnot,infact,aCPAashehadearlierrepresentedhimselftobe(T.Vol.II,pp.201202),andthathewascurrentlyworkingandabouttobeterminatedbyanemployerbythename_SofTek_Ԁ(T.Vol.II,pp.199200),althoughthatpartofhisemploymenthistorywasassertedinhistestimonyasbeingirrelevant.Similarly,upontheopeningofthe_PSA_Ԁonlinejobplacement_website_,_Farrells__PSA_Ԁresumewasdevoidofanymentionofhisworkhistorywith_QSI_Ԁ(T.Vol.II,p.290).Bennett,the_QSI_Ԁowner,testifiedthat,hadhebeenprovidedaccurateinformation,ratherthanthatwhichwaspresentedtohimbyFarrell,hewouldneverhavehiredhimand/or_PSA_.(T.Vol.I,p.128)Instead,hereliedon_Farrells_misrepresentationsandsuffereddamageswellinexcessof$100,000.00asaresult.@77& ARGUMENT  $  b J(U88NbI.0  THETRIALCOURT,PRESIDINGINANONJURYTRIAL,ERREDIN&D" (#(# 0  FAILINGTOGIVELEGALEFFECTTOTHEEVIDENCEINITSENTIRETY,WHEREITFAILEDTORULETHATTHEAPPELLEEWASAFIDUCIARYTOAPPELLANT,ANDFAILEDTORULETHATTHEAPPELLEEHADBREACHEDITSFIDUCIARYDUTYTOAPPELLANT,AND]D WHERETHETRIALCOURTRENDEREDAN N,'% _UNEXPLICATED_ԀRULING.# ]DZw# (#(# ub :(08Jb-  A.0  JurisdictionalStatement(#(#   ThisCourthasjurisdictionpursuanttoFla.R.App.P.9.030(b)(1)(A)andArt.V,4(b),Fla.Const.# - x#  f B.0  StandardofReview h ^ (#(#   ThestandardofreviewforthetrialJudge'sapplicationofthelawtoitsfactualfindingsisdenovo.Butlerv.State,706So.2d100(Fla.1rstDCA1998),  citing,_Ornelas_Ԁv.U.S.,116S.Ct.1657(1996). Fromhiswordsandactions,_PSA_,inthepersonofJohnFarrell,didnotexpresslydisclaimsuchconfidence.Neitherdidhedisclosehistruelackofqualificationsandexperience,butinsteadacceptedthespecialtrustandconfidenceplacedinhimby_PSA_,acceptingthemonthlydraws,gainingaccessto )d$" andutilizingtheprotecteddatabasesof_QSI_ԀandcontinuingtodosofromJulyof 8+&$ 1999toOctoberof2000.  _PSA_Ԁtookgreatpainstoshielditselffromliabilitybyinsistingonthestatusofindependentcontractor,asopposedtoregularemployee.Yet,undersimilarfacts,_Floridas_courtshavedeemedindependentcontractorstobefiduciaryagentstotheiremployers._Amedas_Ԁv.EdwardBrown,505So.2d1091(Fla.2ndDCA @  1987)(findingindependentcontractorstatusnottobeashieldagainstclaimof_tortious_Ԁinterference).ActingChiefJusticeGrimesspeciallyconcurredinthatopinion,adding:8   Theconclusionthatanindependentcontractorcannotbeanagent   asdefinedinsection542.33iscontrarytothestatutorypurposeofmakingitpossibletopreventapersonfromacquiringthecustomersofthepartywhoseproducthesells.Asinterpreted,onewhomerchandisesthroughtheuseofsalesagentsormanufacturers'representativescannotprotecthimselfagainstlosinghiscustomerstothosewhobuiltuptheirgoodwillwhilesellinghisproduct." Rodriguez,712So.2d438(3rdDCA1998)(Customerlistsqualifyastradesecrets,   arethepropertyoftheemployerandcannotbeusedbytheformeremployeeforhisownbenefit).SeealsoLeev._Cercoa_,Inc.,433So.2d1(Fla.4thDCA1983). h   Asin_Gracey_andBarnettBank,thistrustwasviolatedbythe_PSA_Ԁwhenhe < wentintobusinessforhimselfwiththeknowledge,skillsandprotectedinformationprovidedtohimby_QSI_.TheAppellantofferedattrialtestimonyofdamagesinthisaspectalonetobeinexcessof$100,000.00(T.Vol.I,p.11),withanadditional$32,000.00indamagesrepresentedbyunrepaidadvances,ordraws,againstcommission.(T.Vol.I,p.75).Essentially,thesedrawsagainstcommissionwouldnotberepaidto_QSI_,becausethe_PSA_Ԁhadshiftedtodealingdirectlywith_QSI_svendors,earningcommissionsdirectlyfromthem.(T.Vol.I, 8+&$ pp.133135)4.0  Breachesof_PSA_sFiduciaryDutyto_QSI_H(#(#   Aswillbediscussedin_seriatum_below,thefactsbroughtoutattrial  l revealedatextbooklitanyofbreachesoffiduciarydutyby_PSA_Ԁasagainstitsprinciple,_QSI_:failuretodisclose_PSA_strueexperience,qualifications,actionsandintentions;failureactingoodfaith;competingwithhisprinciplewhilestillemployed,seekingsecretprofitathisprinciplesexpense,andfailuretomaintainthesecurityofhisemployerstradesecretswhichwererevealedtohiminconfidence.a.0  FailuretoDisclose<(#(#   Like_Meinhard_Ԁv.Salmonsadmonitionfor [_n]ot_Ԁhonestyalone,butthe ` punctilioofanhonorthemostsensitive,Floridasappellatecourtshavefound,in   fiduciaryrelationships,anaffirmativedutytospeak.FirstNationalBankand " TrustCompanyoftheTreasurerCoastv.Pack,789So.2d411(Fla.4thDCA2001) $  citingKleinv.First_Edina_Ԁ_Nat'l_ԀBank,293Minn.418,421,196N.W.2d619,622 &@"  (1972):8   Generally,onepartytoatransactiondoesnothaveadutyto 8+&$ disclosematerialfactsknownonlytothatparty.Onlywhere"specialcircumstances"exist,doesapartyhaveadutytospeakout...Thosecircumstancesinclude(1)whenspeaking,apartymustsayenoughtopreventhisorherwordsfrommisleadingtheotherparty;(2)whereonepartyhasspecialknowledgeofmaterialfactstowhichtheotherpartydoesnothaveaccess,hemayhaveadutytodisclosesuchfacts;and(3)whereafiduciaryrelationshipexists,materialfactsmustbedivulged.(citationsomitted)     _PSA_Ԁbreacheditsfiduciarydutyto_to_Ԁdiscloseinformationandtoactingoodfaithwith_QSI_Ԁfromtheveryonsetoftheirrelationship.Initially,itpresented_QSI_Ԁwithacorporate/personalresumethatleftoutitscurrentemployer,withwhomitwasthenindispute(T.Vol.II,pp.199201),anactwhichwouldberepeatedlaterwhen_PSA_Ԁsetupacompeting_website_,leavingitshistorywith_QSI_outoftheonlineresume(T.Vol.I,pp.7980)._PSA_ԀalsorepresentedhimselfasbeingaCPA,whichattrial,headmittedtobeinaccurate.(T.Vol.II,pp.201202).Alsoattrial,_PSA_Ԁadmittedinfailingtodisclosehispresentintentnottorepaythedrawsadvancedtohimoverthecourseofhisemployment(T.Vol.II,p.224,R.Vol.III,p.397)and,significantly,admittedneveraskingthatthe 8+&$ noncompeteandnondisclosureprovisionsbetakenoutofhiscontractwith_QSI_(T.Vol.II,p.217),seealso(T.Vol.I,pp.35,8586)._QSI_Ԁreasonablyreliedon_PSA_srepresentations,whichomittedasubstantialamountofrelevantinformation._PSA_Ԁfailedtodiscloseto_QSI_Ԁthathehadenteredintoacompetingcontractwithanotheragencysomefivemonthsbeforehisultimatedeparture(T.Vol.II,p.247;R.Vol.VII,_Exh_.#22). Whiletheforegoingcasescitedinvolveprincipallythefiduciarydutyofrealestatebrokerstotheirclients,theyarecitedheretoillustratehowFloridascourtshaveinterpretedfiduciaryrelationships,andhowtheymaybeappliedtothefactselicitedattrialbelow.   d    Applyingtheseprinciplestothecaseatbar,thefactsintherecordreflectthattheAppelleeconductedhimselffarbelowthestandardofgoodfaithdemandedoffiduciariesintheStateofFlorida.Asdiscussedsupra,evenasthe   termsoftherepaymentofdrawsadvancedtohimwereexplainedby_QSI_,heremainedsilent,givingtheobjectivelyreasonableappearanceofagreement,yetmentallyinventedareinterpretationofthosetermswhichwouldhaveledtotheabsurdresultofhavinganegativeincentiveagainstactuallyearningcommissionsforhisemployer.(T.Vol.II,pp.214215,223224).Butsee_Publix_ԀSuper   Markets,Inc.v.WilderCorporationofDelaware,876So.2d652(Fla.2ndDCA " 2004)(Courtsmustconstruecontractsinsuchawayastogivereasonablemeaningtoallprovisions,ratherthanleavingpartofthecontractuseless.)Citing_Hardwick_ &@"  Props.,Inc.v._Newbern_,711So.2d35(Fla.1stDCA1998)and_Paladyne_ԀCorp.v. )d$" _Weindruch_,867So.2d630(Fla.5thDCA2004). 8+&$   Thiswasnottheonlyinstanceofbadfaithbroughtoutattrialinthecasebelow.Aselicitedabove,_PSA_,evenifviolentlyopposedtothenoncompete,nondisclosureprovisionsin_QSI_sstandardemploymentcontract,heremainedsilentastothatoppositionandcomportedhisactionsasiftheywerenolongerpartoftheconditionsofhisemployment.Butsee(T.Vol.II,p.247)󀀀Astherecord @  reflectshisadmissionofneverhavingcontestedthoseprovisions(T.Vol.II,p.217),matchedbythefactsbroughtoutattrialthatallother_QSI_Ԁpersonnelhadcontractswithnoncompeteandnondisclosureprovisions._QSI_Ԁdeniedeverhavingdiscussedtheissuewith_PSA_,muchlessagreeingtowhatwouldhavethepracticaleffectofsettingupandtrainingacompetitor,whocouldthereafterenterthemarketplace,preparedtounderbid_QSI_Ԁateveryturn.Indeed,thefactsbroughtoutattrialrevealedthat_that_Ԁisexactlywhathappened.Insum,thisisatextbookexampleofbreachoffiduciaryduty. D c.0  CompetingwithEmployerWhileStillEmployed/<(#(#   SeekingSecretProfit/UseofCompanyTradeSecrets N   Attrial,_unrefuted_Ԁtestimonyrevealedthat_PSA_,approximatelyfivemonthsbeforeitlefttheemployof_QSI_Ԁwithoutnotice,hadsolicitedandenteredintoacompetitivecontractwithoneof_QSI_sclients(T.Vol.II,pp.246255),underbiddingitbyfivepercentintheprocess(T.VolII,pp.250251).IntheMarchtoMay,2000timeframe!againwhilestillintheemployofanddrawingincomefrom_QSI_Ԁ!_PSA_Ԁsetupa_website_ԀandcreatedasubsidiaryofProfessional 8+&$ SoftwareAssociatesunderthenameProfessionalSearchAgency.Testimonywasalsobroughtoutattrialshowingthat_PSA_Ԁhadbeensolicitingotherclientsof_QSI_Ԁupthroughitsdeparturefrom_QSI_Ԁandcontinuingintodirectcompetition.(T.Vol.II,pp.210,262264).Throughtheseefforts,testimonyfrom_PSA_elicitedthatithadearnedinexcessof$100,000.00.Significantly,thoseearningscamefromtheverysamecompanies_PSA_Ԁhadestablishedcontactwiththrough_QSI_Ԁandnoneothers!contemporaneouswithitsemploymentat_QSI_Ԁ(T.Vol.II,pp.210,274).Further,though_PSA_Ԁdeniedtheworkproducedbyitduringitsemploybelongedtotheemployer,itdeniedtakingcopiesofcorporateinformationhomewithit,yetproducedQSItypedocumentationduringdiscoverywellpastthetimethatitnolongerworkedthere.(T.Vol.II,pp.305).  Fromthefactsbroughtoutattrial,itwasevidentand_unrefuted_Ԁthat_PSA_wasindirectcompetitionwith_QSI_Ԁwellbeforeithadleftitsemploy.Throughpointedexaminationbycounsel,itwasfurtherelicitedthat_PSA_Ԁhadtakenforitsownuseandprofit,theprotectedinformationof_QSI_.  Understrikinglysimilarfacts,courtshavefound,evenwherethedefendantwasanindependentcontractor,andevenwherethereisanabsenceofacovenantnottocompete,abreachofthecommonlawdutyofloyaltyinsolicitingcustomersandemployeeswhilestillemployedbytheprinciple.InsuranceFieldServices, 8+&$ Inc.v.White&WhiteInspectionandAuditService,Inc.,384So.2d303(Fla.5th  DCA1980).EconomicResearchAnalystsv.Brennan&EquityFunding $ CorporationAmerica,232So.2d219(Fla.4thDCA1970)(readingmeaningof H independentcontractorbroadlyunderaegisofagencyandthereforeencompassedby_F.S._Ԁ542.33).Seealso_Symons_ԀCorp.v.Tartan-_Lavers_Ԁ_Delray_ @  Beach,Inc.,456So.2d1254(Fla.4thDCA1984)(oneneednotbeanemployeeof d  acorporationtobeitsagent).  ApplyingthelawtothefactstothecaseheardbelowwouldmilitateforaconclusionthattheAppelleehadbreachedhiscommonlawdutyofloyaltytotheemployer,evenintheabsenceofawrittennoncompeteprovisionandevenifdeemedanindependentcontractor.Certainly,thecourtsfoundthattheelementsfortortuousinterferencehadbeenstated.Whileaclaimfortortuousinterferenceisbeyondthescopeofthisbrief,thecasescitedareillustrative.Breachesof_PSA_to_QSI_,suchasthosediscussedsupraarewellwithintheredzoneofbreachof   fiduciaryduty.Competitionwithonesownemployer,seekingasecretprofitandusurpingcorporateopportunitiesforhisownprofitandenjoymentareallclearlybreachesofthefiduciaryrelationship.  Testimonyattrialfurtherelicitedthat_QSI_Ԁhadtakenreasonablemeasurestosafeguardtheinformationithadgleanedfromcustomerandvendorcontacts, 8+&$ resumesandotherinformationwhichithadfilteredandprocessedintoaformwhichgaveitabusinessadvantage,solongasitwaskeptconfidential.Evenifthecourtbelowgaveeffecttotheabsenceofthenoncompeteandnondisclosureprovisionsinthebaseagreement,whichfromthefacts,appeartohavebeenobtainedbywayofbreachoffiduciaryduty,ratherthanaproductofnegotiation,Floridascourtshaveheldtradesecretstobe_protectible_Ԁinterests.ThecourtheldinChingLeev._Cercoa_,Inc.433So.2d1,(Fla.4thDCA1983)that:   8  񀀀 `  [_w]here_Ԁanemployeeacquires,duringthecourseofhis  employment,aspecialtechniqueorprocessdevelopedbyhisemployer,theemployeeisunderaduty,evenintheabsenceofanexpresscontractualprovision,nottodisclosesuchskills,techniquesorprocessesinhisnewemploymentforhisownoranother'sbenefittothedetrimentofhispreviousemployer.`     CONCLUSION " 8  Basedonthefactselicitedattrialandcontainedwithintherecord,thetrialcourtbelowerredwhenitruledwithoutexplanationthatAppellanttakenothingandAppelleegohencewithoutday.Anexaminationofthelaw,thefacts,andthelawasappliedtothefacts,demonstratethattherulingwaswithoutsupportofany 8+&$ substantialevidence,clearlyagainsttheweightoftheevidence,wasamisapplicationofthelaw,andfailedtogivelegaleffecttotheevidence.
